These Terms and Conditions govern access to and use of soulemedia.com. By using the site, you agree to these terms. If you do not agree, do not use the site. These terms apply only to the public website; photography, film, production, licensing, or other client services require a separate written agreement, and that agreement controls if it conflicts with these terms.

The site is intended for people age 13 and older. If you are under the age of legal majority where you live, use the site only with permission from a parent or legal guardian. A child under 13 must not submit a project inquiry.

The site presents Soule Media's portfolio, capabilities, and general business information and provides a way to start a conversation. Site content is informational and does not constitute a binding quote, offer, guarantee, professional advice, or promise of availability, pricing, scope, timing, results, licensing rights, or deliverables. Sending an inquiry does not create a client relationship or require either party to proceed.

The site and its design, text, graphics, logos, photographs, films, audio-removed video derivatives, and other materials are owned by Soule Media or used with permission and are protected by intellectual-property and other laws. Client names, brands, locations, performances, products, and other third-party material remain the property of their respective owners.

Soule Media grants you a limited, revocable, nonexclusive, nontransferable right to view the site for personal or internal business evaluation. You may not reproduce, download in bulk, publish, sell, license, modify, create derivative works from, publicly display, scrape, train a model on, or commercially exploit site material without prior written permission or another right granted by law. Ordinary browser caching, sharing an unmodified page link, and fair uses permitted by law are not prohibited.

When you submit an inquiry or public reference link, you represent that the information is accurate to the best of your knowledge, that you have the right to provide it, and that doing so does not violate another person's rights or duties. Do not submit confidential material, passwords, private-access links, unlawful content, sensitive personal information, or files through the form.

You retain ownership of material you submit. You give Soule Media a limited permission to receive, copy, review, and share it with authorized personnel and service providers only as reasonably necessary to evaluate and respond to the inquiry, protect the site, keep related business records, and comply with law. An inquiry does not authorize Soule Media to publish your material.

You may not use or attempt to use the site to:

• Violate law, another person's rights, or a contractual or confidentiality duty.
• Submit false, fraudulent, harassing, infringing, malicious, or unlawful content.
• Probe, scan, bypass, disable, overload, or interfere with security, rate limits, availability, or normal operation.
• Introduce malware, automated abuse, credential material, or code intended to damage or gain unauthorized access.
• Impersonate another person or misrepresent your identity, authority, affiliation, or the origin of a request.
• Harvest contact information, scrape the portfolio in bulk, or use automated means except ordinary search-engine indexing that follows published crawl controls.

Soule Media may restrict or block access reasonably believed to threaten the site, users, providers, or legal rights.

The site includes links to third-party websites, social profiles, review pages, and resources. A link does not mean Soule Media controls or endorses every statement, product, policy, or practice at the destination. Third-party sites are governed by their own terms and policies, and you use them at your own risk.

Soule Media works to keep the site accurate and available but does not promise that every item is complete, current, uninterrupted, error-free, or suitable for a particular purpose. Portfolio work and reported project context do not guarantee that another project will achieve the same creative, business, audience, or performance result. Soule Media may correct, change, suspend, or remove site content or functionality without notice.

The Privacy Policy explains how information is handled through the website and is incorporated into these terms. Do not use the public client-login placeholder to submit credentials; it does not authenticate, create accounts, transmit credentials, or provide access to private content.

To the fullest extent permitted by law, the site is provided on an as-is and as-available basis. Soule Media disclaims implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, and any warranty arising from course of dealing or usage of trade. Nothing in these terms excludes a warranty or consumer protection that cannot lawfully be excluded.

To the fullest extent permitted by law, Soule Media and its owners, personnel, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, lost profits, lost data, business interruption, or reputational loss arising from or related to the public site or third-party links. Soule Media's total liability for a claim arising only from use of this free public site will not exceed one hundred United States dollars. These limits do not apply to liability that cannot legally be limited, including where applicable liability for fraud, willful misconduct, or injury caused by gross negligence.

Soule Media may update these terms by posting a revised version with a new Last updated date. Changes apply prospectively when posted unless law requires additional notice. Continued use after the effective date means you accept the revised terms. Soule Media may suspend or end the site or your access at any time, subject to applicable law. Provisions that by their nature should survive will survive termination.

These terms are governed by the laws of the Commonwealth of Massachusetts and applicable United States federal law, without regard to conflict-of-law principles. A dispute concerning only these terms or the public site must be brought in a state or federal court with jurisdiction in Massachusetts, and each party consents to that jurisdiction and venue. This provision does not waive a nonwaivable consumer right or a right to bring a claim in another forum that applicable law requires.

If a provision is found unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not assign these terms without Soule Media's prior written consent; Soule Media may assign them as part of a reorganization or transfer. These terms and the Privacy Policy are the entire agreement about use of the public site, but they do not replace a separate client agreement.
